These Terms of Service govern use of TrackJoy, provided by Vuerio. Contact: hello@vuerio.com.
1. The service
TrackJoy is a Shopify application that lets merchants mark products for serial tracking, attach merchant-supplied manufacturer serial numbers or IMEIs to order units, search those records, and export them as CSV. TrackJoy does not generate serial numbers, validate an IMEI with a carrier or GSMA, manage warranty claims, or provide Shopify POS entry in Cycle 1.
2. Eligibility and Shopify account
The merchant must have authority to bind the business that owns the Shopify store and must maintain a valid Shopify account. Use of Shopify remains subject to Shopify's own agreements. The merchant is responsible for Shopify staff permissions and all activity performed through its accounts.
3. Merchant responsibilities
The merchant is responsible for:
- entering accurate serial, product, order, and business information;
- having a lawful basis to process customer and device information;
- responding to customers and regulators regarding its records;
- determining and applying appropriate retention obligations;
- reviewing corrections before relying on exported or searched records;
- securing scanners, Shopify accounts, downloads, and copied CSV content; and
- complying with product, consumer, warranty, export, sanctions, and privacy laws applicable to its business.
TrackJoy is an operational recordkeeping tool and is not legal, tax, accounting, warranty, recall, or regulatory advice.
4. Acceptable use
The merchant must not use TrackJoy to violate law, infringe rights, introduce malware, attempt unauthorised access, bypass Shopify or TrackJoy usage limits, interfere with service operation, or process information it is not authorised to handle.
5. Plans and payment
TrackJoy offers the plans displayed through Shopify. Paid subscriptions, plan changes, billing, taxes, trials, cancellations, and refunds are processed through Shopify App Pricing and are also subject to Shopify's terms. The merchant authorises Shopify to charge the applicable fees. TrackJoy does not collect card details directly.
6. Merchant data and licence
The merchant retains its rights in the data it supplies or controls. The merchant grants Vuerio a limited right to process that data only as necessary to provide, secure, support, and comply with legal obligations relating to TrackJoy.
TrackJoy stores serial records and derived indexes in app-owned Shopify data resources. The merchant should retain any exports or records required by its own legal or business obligations.
7. Intellectual property
TrackJoy, its software, documentation, branding, and other service materials are owned by Vuerio or its licensors. These terms grant only a limited, non-exclusive, non-transferable, revocable right to use the service for the merchant's internal business operations while its installation and subscription remain active.
8. Availability and changes
TrackJoy may change, suspend, or discontinue functionality to maintain security, comply with Shopify requirements or law, or improve the service. No uninterrupted or error-free operation is promised. Maintenance and incidents may temporarily affect availability.
9. Third-party services
TrackJoy depends on Shopify and the merchant's devices, network, and chosen software. Vuerio is not responsible for third-party services or changes outside its control. Shopify API, billing, hosting, and platform availability may affect TrackJoy.
10. Termination
The merchant may stop using TrackJoy by uninstalling it and cancelling any applicable Shopify-hosted subscription. Vuerio may suspend or terminate access for material breach, unlawful use, security risk, or non-payment where permitted.
On uninstall, TrackJoy deletes its local Shopify OAuth sessions after receiving the relevant lifecycle or privacy webhook and loses access to the store. Shopify controls the lifecycle of data stored in Shopify. The merchant remains responsible for retaining required records and completing privacy or legal obligations.
11. Disclaimers
To the maximum extent permitted by law, TrackJoy is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. Nothing in these terms excludes rights or warranties that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Vuerio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data. Nothing in these terms limits liability that cannot lawfully be limited or excluded.
13. Indemnity
To the extent permitted by law, the merchant will indemnify Vuerio against third-party claims arising from the merchant's unlawful use of TrackJoy, breach of these terms, infringement of rights, or mishandling of merchant/customer data.
14. Governing law and disputes
These terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
15. Changes to these terms
These terms may be updated to reflect service, legal, security, or Shopify-platform changes. Material changes will be identified by an updated effective date and communicated as required.
